Terms of Service
Effective date: September 5, 2025
TL;DR: Sup helps you build better habits with reminders. By using Sup, you agree to these Terms, our Privacy Policy, and any feature-specific notices. Subscriptions auto-renew until you cancel. AI is optional; outputs may be imperfect. Don’t use Sup for emergencies or medical decisions.

10. Intellectual Property; DMCA
1) Who We Are & Contract
These Terms form a binding agreement between you and Sup (Legal Entity) (“Sup,” “we,” “us”). By accessing or using Sup’s apps, websites, or services (the “Service”), you agree to these Terms and our Privacy Policy.
2) Eligibility & Accounts
You must be at least 13 years old (or the age of digital consent in your region) to use the Service. If you create an account, you must provide accurate information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3) License & App Access
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app and access the Service for personal, non-commercial habit-building purposes. We reserve all rights not expressly granted.
4) Acceptable Use
You agree not to: (a) misuse the Service; (b) attempt to interfere with or disrupt the Service; (c) reverse engineer, decompile, or circumvent security; (d) use the Service to violate law, infringe IP, or distribute harmful/illegal content; (e) spam, harass, or engage in abusive behavior; (f) use unauthorized automation or scraping; (g) misrepresent your identity; (h) attempt to access others’ data without permission.
5) AI Features & Outputs
AI-generated reminders are optional. When enabled, limited prompt text and settings you provide may be processed by our AI provider, OpenAI, solely to return the requested output. See our Privacy Policy for details on what is sent and how it’s protected.
No professional advice: AI outputs may be inaccurate or inappropriate for your situation and are provided “as is” for general habit support. They are not medical, mental health, legal, or other professional advice, and must not be used for emergencies. If you need professional help, consult a qualified professional.
User responsibility: You are responsible for reviewing outputs and using your judgment before acting on them.
6) Subscriptions, Trials, Billing & Taxes
Auto-renewal: Paid plans renew automatically at the end of each billing cycle unless you cancel before the renewal. You can cancel in the app store or account settings where you initiated the subscription. After cancellation, you retain access to paid features through the end of the paid period.
Trials & promos: If you start a trial, you may be charged at the end of the trial unless you cancel before it ends. One trial per person unless stated otherwise.
Pricing & changes: We may change prices prospectively; we will provide notice where required. Taxes may be added based on your billing address.
Refunds: Except where required by law or by the platform (e.g., Apple App Store / Google Play policies), payments are non-refundable. Where you purchased via an app store, their terms govern refunds.
Failed payments: If a payment fails, we may suspend or downgrade access until payment is resolved.
7) Changes to the Service
We continually improve Sup and may add, modify, or remove features. We strive for high availability but do not guarantee uninterrupted Service. We may suspend or limit the Service for maintenance, security, or legal reasons.
8) Your Content & Feedback
Your Content: You retain ownership of content you input (e.g., reminder text, schedules). To operate the Service, you grant Sup a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create non-creative technical copies of Your Content solely to provide and improve the Service.
AI prompts/outputs: For AI features, you grant us the rights necessary to transmit your prompts to our AI provider and return outputs to you. We do not claim ownership of your prompts or the resulting text.
Feedback: If you provide ideas or suggestions, you grant Sup a perpetual, irrevocable, worldwide, royalty-free license to use them without obligation to you.
We may remove content that violates these Terms or law.
9) Third-Party Services
The Service may integrate third-party services (e.g., OpenAI for AI generation, Firebase for analytics/crash reporting, hosting/CDN). Those services are subject to their own terms, and we are not responsible for them. We use reasonable diligence in selecting vendors and implement contractual and technical controls as described in our Privacy Policy.
10) Intellectual Property; DMCA
The Service, including our logos, brand, and software, is owned by Sup and its licensors and protected by IP laws. These Terms do not grant you rights to our trademarks or source code.
DMCA Notice: If you believe content on the Service infringes your copyright, send a notice to dmca@supreminders.com with: (a) your contact info; (b) identification of the work and the allegedly infringing material; (c) a statement of good-faith belief; (d) a statement under penalty of perjury that the information is accurate and you are authorized; and (e) your physical or electronic signature. We may notify the user and remove content as required by law.
11) Disclaimers
THE SERVICE AND ALL CONTENT (INCLUDING AI OUTPUTS) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that reminders will be delivered at precise times in all conditions (e.g., device settings, connectivity, OS limitations) or that the Service will be error-free or uninterrupted.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO SUP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $50. Some jurisdictions do not allow limitations; in that case, the limitation applies to the fullest extent permitted.
13) Indemnification
You agree to defend, indemnify, and hold harmless Sup and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Your Content; (b) your use of the Service in violation of these Terms or law; or (c) your violation of any third-party rights.
14) Suspension & Termination
We may suspend or terminate access to the Service if you breach these Terms, pose a risk to the Service or others, or as required by law. You may stop using the Service at any time and may delete your account in settings. Certain provisions survive termination, including Sections 8–16.
15) Governing Law; Arbitration; Class Action Waiver
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Arbitration: Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by a recognized arbitration provider under its rules. You and Sup waive the right to a trial by jury.
Class Action Waiver: Disputes must be brought on an individual basis; class, consolidated, or representative proceedings are not permitted.
Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@supreminders.com with subject “Arbitration Opt-Out” and your account email.
Small Claims & Injunctive Relief: Either party may bring an individual action in small claims court or seek injunctive relief in a court of competent jurisdiction to prevent unauthorized use or abuse of the Service or IP infringement.
16) Miscellaneous
Medical Safety: Sup is not a medical device and is not intended to diagnose, treat, or cure any condition. Do not rely on Sup for emergency notifications.
Electronic Communications: You consent to receive service notices and transactional messages electronically. You may manage certain preferences in settings.
Export & Sanctions: You represent that you are not located in, under the control of, or a national/resident of any country or entity on U.S. sanctions lists and that you will comply with export laws.
Government Rights: If used by U.S. Government, the Service is “Commercial Computer Software” subject to restricted rights under applicable regulations.
App Stores: If you downloaded via an app store, the store provider is not a party to these Terms and has no responsibility for the Service. You must comply with store terms.
Severability & Waiver: If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
Entire Agreement: These Terms, the Privacy Policy, and any feature-specific terms are the entire agreement between you and Sup regarding the Service.
17) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., in-app notice or email) and, where required, seek consent. Continued use of the Service after changes become effective constitutes acceptance.
